Terms of Service

These Terms of Service ("Terms") govern access to and use of OpsRail, a sales-to-dispatch CRM platform operated by YSS Borkar, Margao, Goa, India ("OpsRail," "we," "us"). By accessing or using OpsRail, your organization ("Customer," "you") agrees to these Terms.

1. The Service

OpsRail provides software for managing leads, quotations, sales orders, credit control, inventory reservation, delivery dispatch, and invoicing. Access is provisioned on a per-organization basis; new customers are onboarded directly by our team rather than through self-service signup.

2. Accounts and access

You are responsible for the accuracy of information provided during onboarding, for maintaining the confidentiality of login credentials issued to your team, and for all activity that occurs under your organization's account. You are responsible for assigning appropriate roles and territory access to your users and for promptly deactivating accounts of former employees.

3. Your data

You retain all rights to the business data you input into OpsRail, including customer records, orders, and pricing. We process that data solely to provide the Service to you, as described in our Privacy Policy and Data Processing Addendum. You are responsible for ensuring you have the legal right to input your customers' data into OpsRail and for complying with applicable data protection and tax laws (including GST) in your own business operations.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to store data you don't have the right to process
• Attempt to gain unauthorized access to accounts, data, or systems outside your organization's scope
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, resell, or sublicense the Service without our written consent

5. Fees and payment

Fees, billing frequency, and payment terms are as agreed in your order form or written agreement with us. Unless otherwise agreed in writing, fees are non-refundable once a billing period has started. We will give reasonable advance notice of any pricing changes before they take effect on renewal.

6. Service availability

We aim to keep OpsRail available and performant but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where practical. We are not liable for downtime caused by third-party infrastructure providers outside our control.

7. Intellectual property

OpsRail and its underlying software, design, and branding are owned by YSS Borkar. These Terms do not grant you any rights to our intellectual property beyond the right to use the Service as intended.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as needed to provide or use the Service.

9. Limitation of liability

To the maximum extent permitted by law, OpsRail's total liability arising out of or related to the Service is limited to the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, except where such limitation is not permitted by law.

10. Termination

Either party may terminate the agreement as set out in your order form, or with 30 days' written notice where no other term is specified. We may suspend or terminate access immediately if you materially breach these Terms, including non-payment or unlawful use. Upon termination, we will make your data available for export for a reasonable period before deletion, as described in our Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. We will notify account administrators of material changes by email before they take effect.

12. Governing law

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Goa, India.
